Deep Notes — Terms of Service

Deep Notes is a general-audience service and may be used by people of different ages, subject to applicable law.

If you are under the age at which you can enter into a binding agreement where you live, you may use Deep Notes only with the permission and supervision of a parent or legal guardian. In that case, your parent or legal guardian must review and accept these Terms on your behalf and is responsible for your use of the Service, including purchases made through the App Store.

Where applicable law requires parental or guardian consent for the processing of your personal data, you may use features that require that processing only after the required consent has been provided.

You may not use the Service if applicable law prohibits you from doing so.

You can sign up with an email address and password, with your Google account, or with Sign in with Apple. You are responsible for keeping your sign-in credentials secure and for activity that happens under your account. Tell us at info@deepnotesai.com if you believe your account has been used without your permission.

You may delete your account at any time in Settings → Account → Delete account. Deleting your account removes your account record, your usage history and your minute balance from our systems, as described in our Privacy Policy. It does not delete your notes and recordings, because those are on your device rather than on our servers — to remove those, delete them in the app or delete the app itself.

Deep Notes records audio, converts it into a written transcript, separates it into speaker turns, and generates a summary, a title and action items. You can also import an audio file or a PDF and get the same result, and ask questions about a transcript or an imported document and get answers drawn from it.

To do this, your audio, or the text of the document you import, is sent from your device to AssemblyAI, which transcribes it and passes the text to a large language model, Anthropic's Claude or Google's Gemini, to produce the summary and answers. Results are returned to your device. Your content does not pass through our servers. Our Privacy Policy explains this in full, including how long AssemblyAI keeps it, and the app asks for your agreement before the first upload. Without it, recording and AI features do not work.

Recording length. A single recording can run for up to two hours. If you need to capture a longer session, split it into more than one recording.

Offline. You can record without an internet connection. Transcription and AI features run once your device is back online.

Your recordings, transcripts, summaries, imported documents, notes, tasks and planner entries are stored on your iPhone. We do not store them, we do not have a copy, and we cannot read them.

This has one consequence you need to understand before you rely on the app:

We cannot recover your content. If you delete the app, lose or damage your phone, or reset it, your notes and recordings go with it. There is no server-side copy for us to restore. Deep Notes does not currently sync your content between devices.

You are responsible for your own backups. Keep iPhone backup switched on, or export the notes that matter to you. Section 18 applies to lost content, and we make no promise that content stored on your device will survive.

Deep Notes measures usage in minutes of recording.

Recording time is rounded up to the nearest whole minute per recording. Imported audio files are counted the same way, by their duration. A single recording can run for up to two hours; longer sessions need to be split into more than one recording.

Imported PDFs are counted by length rather than duration, at one minute per page, with a minimum charge per file. The app tells you what an import will cost before it runs, so you can cancel a large file rather than spend the minutes.

Your subscription includes 600 minutes per week — ten hours of recording. The weekly allowance is the content of your subscription for that period. It refreshes at the start of each weekly period and does not carry over: minutes you do not use in a given week are not added to the following week. This applies to every plan, including monthly, quarterly and annual — those plans differ in how you are billed, not in how much recording they include per week.

Extra minutes are a top-up, not a substitute for a subscription. If you need more than your weekly allowance you can buy a pack of 120, 300 or 600 extra minutes. Purchased minutes are added to a balance that carries over indefinitely: they are not reset at the start of a new week, and they are not lost when your subscription renews, lapses or is cancelled. Spending them requires an active Deep Notes Pro subscription, because recording and AI features are part of Pro. If your subscription ends, your purchased balance stays in your account and becomes available again the moment you resubscribe.

Your weekly allowance is always spent first. Purchased minutes are only drawn on once the current week's 600 minutes are exhausted, so you never burn a pack you paid for while you still have included time available.

Running out. If a recording would exceed your remaining balance, the app tells you before you start. A recording already in progress is not cut off without warning: you are prompted, and the recording is stopped and saved rather than lost. The same applies as a recording approaches the two-hour limit.

You can see your remaining weekly allowance and your purchased balance at any time in Settings.

Minutes have no cash value, cannot be exchanged for money, cannot be transferred between accounts, and cannot be sold or traded.

Deep Notes can be used without a subscription. On the free plan you can write and organise notes, manage tasks, use the planner and the calendar integration, and read, edit, search and export any notes already on your device.

Recording and all AI features require an active subscription. Without one you cannot start a recording, import audio, import a document, generate transcripts, summaries, titles or action items, or ask questions about a note.

Notes you created while subscribed stay readable, editable and exportable after your subscription ends. We do not lock content you have already created behind the paywall.

We may change what the free plan includes, and we will tell you in the app before a change reduces something you already have.

Deep Notes Pro is sold as an auto-renewable subscription in weekly, monthly, quarterly and annual plans. All of them grant the same access, including 600 minutes of recording per week.

Payment is charged to your Apple Account when you confirm the purchase. Subscriptions renew automatically at the end of each period unless you turn off auto-renewal at least 24 hours before that period ends. Apple charges the renewal within the 24 hours before the current period ends, at the price then shown for your plan. You can view, change or cancel your subscription in Settings → [your name] → Subscriptions on your device; deleting the app does not cancel a subscription.

Prices are shown in the App Store in your local currency before you buy, and are set by Apple's pricing tiers. If we change the price of a plan, Apple will notify you and, where required, ask you to confirm before the new price is charged.

The weekly plan includes a three-day free trial for users who have not used a trial or subscription for Deep Notes before. During the trial you get full Pro access, including the 600-minute weekly allowance.

Unless you cancel at least 24 hours before the trial ends, it converts automatically into a paid weekly subscription and you are charged at that point. If you buy a subscription before the trial ends, any unused portion of the trial is forfeited.

Minute packs are one-time purchases, not subscriptions. They do not renew and they are not charged again. Once delivered to your account they are consumed as described in section 5, and spending them requires an active subscription.

Because they are digital content delivered immediately, they are not restorable through Apple's "restore purchases" mechanism in the way a subscription is. Your balance is held in your account on our servers and follows your account, not your device: sign in on a new iPhone and your balance is there.

If you delete your Deep Notes account, any unused purchased minutes are deleted with it and cannot be restored or refunded. If you want to stop using the app but keep a balance you have paid for, cancel your subscription instead of deleting your account.

You can cancel a subscription at any time. Cancelling stops the next renewal; it does not shorten the period you have already paid for, and you keep Pro access until that period ends.

Apple, not Zoka Yazılım, is the seller of record for all in-app purchases. We cannot issue refunds directly. Refund requests go to Apple at reportaproblem.apple.com, and Apple decides them under its own policies.

If you are a consumer in the European Union, the United Kingdom or Türkiye, you have a statutory right to withdraw from a distance contract within 14 days. That right does not apply to digital content that has already been delivered with your prior express consent and your acknowledgement that you thereby lose the right of withdrawal — which is what happens when a minute pack is added to your balance immediately after purchase. Nothing in these Terms removes any mandatory consumer right you have under the law of the country you live in.

Your recordings, transcripts, summaries, imported documents and notes are yours. We claim no ownership of them, and we do not store them.

You grant us a limited licence to have that content transmitted to and processed by the AI providers named in section 3, for one purpose only: producing the transcript, summary or answer you asked for and returning it to your device. The licence covers nothing else, and it ends when the processing for that request is finished. We do not use your content to train models, we do not permit our providers to, and we do not use it for advertising.

You are responsible for the legality of what you record. Recording a conversation without the consent of everyone taking part is illegal in many jurisdictions — in a number of US states, across much of the European Union, and in Türkiye, where Article 133 of the Turkish Penal Code makes recording a private conversation without consent a criminal offence.

Before you record, you must have whatever consent or authorisation the law where you are requires. The app reminds you of this, but the reminder is a courtesy, not legal advice, and it does not transfer the obligation to us. You agree not to use Deep Notes to record anyone unlawfully, and to indemnify us against claims arising from recordings you make.

Transcripts, summaries, speaker labels and answers are produced by automated systems and will sometimes be wrong. Words are misheard, names are misspelled, speaker turns are attributed to the wrong person, and summaries can omit or distort what was said. Deep Notes is a note-taking aid, not a certified transcription service and not a system of record.

Do not rely on its output where accuracy is critical without checking it against the recording — in particular for medical, legal, financial, employment or academic-integrity purposes. Deep Notes does not provide professional advice of any kind, and output is not a substitute for a professional's judgement.

You agree not to use Deep Notes to break the law or infringe anyone's rights; not to upload content you have no right to process; not to attempt to reverse-engineer, decompile or interfere with the app or our servers; not to extract or reuse any credentials, keys or tokens the app uses to reach our providers; not to circumvent the minute system, paywalls or usage limits; not to resell or redistribute the Service; and not to submit content designed to manipulate or attack the AI providers we use.

We are actively developing Deep Notes and may add, change or remove features. If a change materially reduces what a paid subscription gives you, we will tell you in advance, and you may cancel before it takes effect.

We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if your use threatens the security or integrity of the Service. Where circumstances allow, we will warn you first. If we terminate your account without cause, we will take reasonable steps to help you obtain any refund or remedy available through Apple, subject to Apple's refund procedures.

Suspension or termination does not affect the notes and recordings on your device, which remain there and remain readable, since they were never on our servers.

You may stop using Deep Notes at any time and delete your account in Settings → Account → Delete account.

The Service is provided "as is" and "as available". To the fullest extent the law permits, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that any recording, transcript, summary or answer will be complete or accurate, or that content stored on your device will be preserved.

To the fullest extent the law permits, Zoka Yazılım is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost recordings. Our total liability arising out of or relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim, or USD 100.

Nothing here excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, for fraud, or any mandatory consumer-law liability in your country of residence.

Severability. If any provision of these Terms is held invalid or unenforceable, the rest remains in force and the invalid provision is replaced by one that comes closest to its intended effect.

No waiver. If we do not enforce a provision on one occasion, that is not a waiver of our right to enforce it later.

Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours to a successor in a merger, acquisition or sale of assets, provided your rights under these Terms are not reduced. We will tell you if that happens.

Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, war, industrial action, or the failure of infrastructure or third-party services we depend on. This does not affect your right to cancel or to any mandatory consumer remedy.

Notices. We give notice through the app, by email to the address on your account, or by posting on deepnotesai.com. You give notice to us at info@deepnotesai.com or at the postal address in section 23.

Entire agreement. These Terms, together with the Privacy Policy and the About In-App Purchases page, are the whole agreement between us about the Service and replace any earlier understanding. This does not exclude liability for fraudulent misrepresentation.

Language. These Terms are published in English. Where we publish a Turkish version and the two differ, the Turkish version prevails for consumers resident in Türkiye.

These Terms are governed by the laws of the Republic of Türkiye. The İstanbul Anadolu courts and enforcement offices have jurisdiction.

If you are a consumer, this does not deprive you of the protection of the mandatory laws of the country where you live, and you may bring proceedings in your local courts. Consumers in Türkiye may also apply to the Consumer Arbitration Committee (Tüketici Hakem Heyeti) or the Consumer Court for their district.

We will post updated Terms here and revise the date at the top. For material changes we will notify you in the app before they take effect. Continuing to use Deep Notes after that point means you accept the revised Terms.

These terms are required because Deep Notes is distributed through the App Store.

This agreement is between you and Zoka Yazılım only, not with Apple. Apple is not responsible for Deep Notes or its content. Your licence to use Deep Notes is a non-transferable licence to use it on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.

Zoka Yazılım, not Apple, is solely responsible for providing maintenance and support for Deep Notes. Apple has no obligation to furnish any support.

To the maximum extent permitted by law, Apple has no warranty obligation with respect to Deep Notes. If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; beyond that, Apple has no other warranty obligation whatsoever.

Zoka Yazılım, not Apple, is responsible for addressing any claim by you or a third party relating to Deep Notes — including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, consumer-protection claims, and any claim that the app infringes a third party's intellectual property rights.

You represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not on any US Government list of prohibited or restricted parties.

Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.
