Deep Notes — Terms of Service

These Terms are a binding agreement between you and Zoka Yazılım Teknoloji ve Ticaret Limited Şirketi ("Zoka Yazılım", "we", "us"), a limited liability company registered in Türkiye, with its registered office at Küçükbakkalköy Mah. Dereboyu Cad. R5 Blok No: 3A İç Kapı No: 48, 34750 Ataşehir / İstanbul, Türkiye, covering your use of the Deep Notes iOS application and deepnotesai.com (together, "Deep Notes" or "the Service").
By downloading or using Deep Notes you accept these Terms. If you do not accept them, do not use the Service.
1. Who may use Deep Notes
You must be at least 16 years old, or older if the law where you live sets a higher age for agreeing to a contract or consenting to data processing. By using the Service you confirm that you meet that requirement and that you are not barred from using it under any applicable law.
2. Your account
You can sign up with an email address and password, with your Google account, or with Sign in with Apple. You are responsible for keeping your sign-in credentials secure and for activity that happens under your account. Tell us at info@deepnotesai.com if you believe your account has been used without your permission.
You may delete your account at any time in Settings → Account → Delete account. Deleting your account removes your notes, recordings and transcripts as described in our Privacy Policy.
3. What the Service does
Deep Notes records audio, converts it into a written transcript, and generates a summary, a title and action items from that transcript. To do this it sends your content to AssemblyAI, which transcribes it and passes the text to a large language model operated by Google (Gemini) or Anthropic (Claude). This is explained in full in our Privacy Policy, and the app asks for your explicit consent before the first upload. Without that consent, recording and AI features do not work.
4. Credits — how they work
Deep Notes measures usage in credits.
One credit equals one minute of recording. Recording time is rounded up to the nearest whole minute per recording. Imported audio files consume credits the same way, based on their duration.
Your subscription includes 600 credits per week — ten hours of recording. The weekly allowance is the content of your subscription for that period. It refreshes at the start of each weekly period and does not carry over: credits you do not use in a given week are not added to the following week. This applies to every subscription plan, including monthly, quarterly and annual — those plans differ in how you are billed, not in how much recording they include per week.
Extra credit packs are separate and never expire. If you need more than your weekly allowance you can buy a pack of 120, 300 or 600 credits. Purchased credits are added to a balance that carries over indefinitely. They are not reset at the start of a new week, they are not lost when your subscription renews, and they remain available to you if your subscription ends or you cancel it. You may use a purchased credit balance without an active subscription.
Your weekly allowance is always spent first. Purchased credits are only drawn on once the current week's 600 credits are exhausted, so you never burn a pack you paid for while you still have included time available.
Running out. If a recording would exceed your remaining balance, the app tells you before you start. A recording already in progress is not cut off mid-sentence without warning; you will be prompted, and the recording is stopped and saved rather than lost.
You can see your remaining weekly allowance and your purchased balance at any time in Settings.
Credits have no cash value, cannot be exchanged for money, cannot be transferred between accounts, and cannot be sold or traded.
5. The free plan
Deep Notes can be used without a subscription. On the free plan you can write and organise notes, manage tasks, use the planner and the calendar integration, and read, edit, search and export any notes already in your account.
Recording and all AI features require an active subscription. Without one you cannot start a recording, import audio, or generate transcripts, summaries, titles or action items.
Notes you created while subscribed stay readable, editable and exportable after your subscription ends. We do not lock content you have already created behind the paywall.
We may change what the free plan includes, and we will tell you in the app before a change reduces something you already have.
6. Subscriptions, billing and auto-renewal
Deep Notes Pro is sold as an auto-renewable subscription in weekly, monthly, quarterly and annual plans. All of them grant the same access, including 600 credits per week.
Payment is charged to your Apple Account when you confirm the purchase. Subscriptions renew automatically at the end of each period unless you turn off auto-renewal at least 24 hours before that period ends. Apple charges the renewal within the 24 hours before the current period ends, at the price then shown for your plan. You can view, change or cancel your subscription in Settings → [your name] → Subscriptions on your device; deleting the app does not cancel a subscription.
Prices are shown in the App Store in your local currency before you buy, and are set by Apple's pricing tiers. If we change the price of a plan, Apple will notify you and, where required, ask you to confirm before the new price is charged.
7. Free trial
The weekly plan includes a three-day free trial for users who have not used a trial or subscription for Deep Notes before. During the trial you get full Pro access, including the 600-credit weekly allowance.
Unless you cancel at least 24 hours before the trial ends, it converts automatically into a paid weekly subscription and you are charged at that point. If you buy a subscription before the trial ends, any unused portion of the trial is forfeited.
8. Extra credit packs
Credit packs are one-time purchases, not subscriptions. They do not renew. Once delivered to your account they are consumed as described in section 4. Because they are digital content delivered immediately, they are not restorable through Apple's "restore purchases" mechanism in the way a subscription is; your balance is held in your account on our servers and follows your account, not your device.
9. Cancellation and refunds
You can cancel a subscription at any time. Cancelling stops the next renewal; it does not shorten the period you have already paid for, and you keep Pro access until that period ends.
Apple, not Zoka Yazılım, is the seller of record for all in-app purchases. We cannot issue refunds directly. Refund requests go to Apple at reportaproblem.apple.com, and Apple decides them under its own policies.
If you are a consumer in the European Union, the United Kingdom or Türkiye, you have a statutory right to withdraw from a distance contract within 14 days. That right does not apply to digital content that has already been delivered with your prior express consent and your acknowledgement that you thereby lose the right of withdrawal — which is what happens when a credit pack is added to your balance immediately after purchase. Nothing in these Terms removes any mandatory consumer right you have under the law of the country you live in.
10. Your content
Your recordings, transcripts, summaries and notes are yours. We claim no ownership of them.
You grant us a limited licence to host, store, transmit and process that content for one purpose only: operating the Service for you — which includes sending it to the AI providers named in section 3. This licence lasts as long as you keep the content in the app and ends when you delete it or delete your account. We do not use your content to train models, we do not permit our providers to, and we do not use it for advertising.
11. Your responsibilities when recording
You are responsible for the legality of what you record. Recording a conversation without the consent of everyone taking part is illegal in many jurisdictions — in eleven US states, across much of the European Union, and in Türkiye, where Article 133 of the Turkish Penal Code makes recording a private conversation without consent a criminal offence.
Before you record, you must have whatever consent or authorisation the law where you are requires. The app reminds you of this, but the reminder is a courtesy, not legal advice, and it does not transfer the obligation to us. You agree not to use Deep Notes to record anyone unlawfully, and to indemnify us against claims arising from recordings you make.
12. AI output is not guaranteed to be accurate
Transcripts and summaries are produced by automated systems and will sometimes be wrong. Words are misheard, names are misspelled, and summaries can omit or distort what was said. Deep Notes is a note-taking aid, not a certified transcription service and not a system of record.
Do not rely on its output where accuracy is critical without checking it against the recording — in particular for medical, legal, financial, employment or academic-integrity purposes. Deep Notes does not provide professional advice of any kind, and output is not a substitute for a professional's judgement.
13. Acceptable use
You agree not to use Deep Notes to break the law or infringe anyone's rights; not to upload content you have no right to process; not to attempt to reverse-engineer, decompile or interfere with the app or our servers; not to circumvent the credit system, paywalls or usage limits; not to resell or redistribute the Service; and not to submit content designed to manipulate or attack the AI providers we use.
14. Changes to the Service
We are actively developing Deep Notes and may add, change or remove features. If a change materially reduces what a paid subscription gives you, we will tell you in advance, and you may cancel before it takes effect.
15. Suspension and termination
We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if your use threatens the security or integrity of the Service. Where circumstances allow, we will warn you first. If we terminate your account without cause, we will refund the unused portion of a subscription you have paid for, through Apple.
You may stop using Deep Notes at any time and delete your account in Settings → Account → Delete account.
16. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law permits, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any recording, transcript or summary will be complete or accurate.
17. Limitation of liability
To the fullest extent the law permits, Zoka Yazılım is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost recordings. Our total liability arising out of or relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim, or USD 100.
Nothing here excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, for fraud, or any mandatory consumer-law liability in your country of residence.
18. Governing law and disputes
These Terms are governed by the laws of the Republic of Türkiye. The İstanbul Anadolu courts and enforcement offices have jurisdiction.
If you are a consumer, this does not deprive you of the protection of the mandatory laws of the country where you live, and you may bring proceedings in your local courts. Consumers in Türkiye may also apply to the Consumer Arbitration Committee (Tüketici Hakem Heyeti) or the Consumer Court for their district.
19. Changes to these Terms
We will post updated Terms here and revise the date at the top. For material changes we will notify you in the app before they take effect. Continuing to use Deep Notes after that point means you accept the revised Terms.
20. Apple-specific terms
These terms are required because Deep Notes is distributed through the App Store.
This agreement is between you and Zoka Yazılım only, not with Apple. Apple is not responsible for Deep Notes or its content. Your licence to use Deep Notes is a non-transferable licence to use it on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
Zoka Yazılım, not Apple, is solely responsible for providing maintenance and support for Deep Notes. Apple has no obligation to furnish any support.
To the maximum extent permitted by law, Apple has no warranty obligation with respect to Deep Notes. If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; beyond that, Apple has no other warranty obligation whatsoever.
Zoka Yazılım, not Apple, is responsible for addressing any claim by you or a third party relating to Deep Notes — including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, consumer-protection claims, and any claim that the app infringes a third party's intellectual property rights.
You represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not on any US Government list of prohibited or restricted parties.
Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.
